1. Agreement
These Terms and Conditions ("Terms") govern your use of the Smart Squirrels website (smartsquirrels.co) and all services provided by The Smart Squirrels ("we", "us", "the Company"), a digital agency based in Dhaka, Bangladesh. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.
2. Services
Smart Squirrels provides digital services including, but not limited to: AI automation and agent development, mobile and web application development, GoHighLevel CRM setup and management, SEO and AEO services, WordPress and Shopify development, Windows desktop software (WPF/.NET), and staff augmentation. The specific scope, deliverables, timelines, and fees for each engagement are defined in a separate Statement of Work (SOW) or service agreement agreed between both parties.
3. Payments and Fees
Fees are outlined in the project proposal or service agreement. Unless otherwise agreed: monthly retainer services are billed at the beginning of each month; project-based services require a deposit (typically 50%) before work commences, with the balance due on delivery; late payments may incur a 1.5% monthly interest charge. All prices are in USD unless specified otherwise.
4. Intellectual Property
Upon receipt of full payment, the client owns all custom work product created specifically for their project, including code, designs, and content. Smart Squirrels retains ownership of pre-existing tools, frameworks, templates, and methodologies used in delivery. We reserve the right to reference completed projects in our portfolio and marketing materials unless the client requests otherwise in writing.
5. Confidentiality
Both parties agree to keep confidential any proprietary information shared during the engagement. We sign NDAs upon request. Smart Squirrels will not disclose client business information, data, or trade secrets to third parties without written consent, except where required by law.
6. Client Responsibilities
Clients are responsible for: providing timely feedback and approvals; supplying necessary assets, credentials, and information required for project delivery; ensuring all content provided to Smart Squirrels is legally owned or licensed; maintaining backups of existing systems before any changes are made.
7. Revisions and Changes
The number of included revisions is defined in the project scope. Requests for changes outside the agreed scope may be subject to additional fees and timeline adjustments. All scope change requests must be submitted in writing and approved by both parties before work proceeds.
8. Cancellation and Refunds
For retainer services: either party may terminate with 30 days written notice. For project-based work: the initial deposit is non-refundable once work has commenced. If the client cancels mid-project, fees are due for all work completed to date. Smart Squirrels reserves the right to terminate engagements in cases of non-payment or breach of these Terms.
9. Limitation of Liability
Smart Squirrels' total liability for any claim arising out of our services is limited to the amount paid for the specific service giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including loss of revenue, data, or business opportunities, even if we have been advised of the possibility of such damages.
10. Warranties
We warrant that our services will be performed with reasonable skill and care. We do not warrant that websites or applications will be completely error-free or uninterrupted. Third-party platforms (such as GoHighLevel, WordPress, or app stores) are subject to their own terms and changes outside our control.
11. Governing Law
These Terms are governed by the laws of Bangladesh. Any disputes arising from these Terms or our services shall be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Dhaka, Bangladesh, unless both parties agree otherwise.
12. Modifications
We reserve the right to update these Terms at any time. Continued use of our services after changes are posted constitutes acceptance of the updated Terms. Material changes will be communicated via email to active clients.
